The award was approved by the Compensation Committee (the \u201cCompensation Committee\u201d) of REPAY\u2019s Board of Directors in accordance with Nasdaq Listing Rule 5635(c)(4). The grant was made to Mr. Watkin on June 1, 2026, and the RSUs will vest in equal annual installments over a three-year period beginning on the grant date, subject to Mr. Watkin\u2019s continued service through the applicable vesting dates.
