(NYSE: CAAP)<\/b> (\u201cCAAP\u201d or the \u201cCompany\u201d), one of the world\u2019s leading private airport operators, announced today that its subsidiary, Inframerica Concession\u00e1ria do Aeroporto de Bras\u00edlia S.A. (\u201cInframerica\u201d), has entered into an amendment agreement so-called Transition Amendment Agreement (\u201cTAA\u201d) with the Brazilian Civil Aviation Authority (\u201cANAC\u201d) in connection with the renegotiation process of the Bras\u00edlia Airport concession agreement in Brazil. CAAP holds a 51% equity interest in Inframerica, while Infraero, a Brazilian state-owned company, holds the remaining 49%.<\/p><br\/><a href=\"https:\/\/mms.businesswire.com\/media\/20260626644627\/en\/674199\/5\/CAAP_logo_Transparente_2.jpg\"><img src=\"https:\/\/mms.businesswire.com\/media\/20260626644627\/en\/674199\/22\/CAAP_logo_Transparente_2.jpg\" \/><\/a><br\/><a href=\"https:\/\/mms.businesswire.com\/media\/20260626644627\/en\/674199\/5\/CAAP_logo_Transparente_2.jpg\"><img src=\"https:\/\/mms.businesswire.com\/media\/20260626644627\/en\/674199\/21\/CAAP_logo_Transparente_2.jpg\" \/><\/a><p>\nThe TAA, which was approved by the Brazilian Federal Court in April 2026, was executed following negotiations involving ANAC, the Ministry of Ports and Airports, and the Federal Court of Accounts.<\/p><p>\nAmong other changes, the overall agreement with the Brazilian government provides for:<\/p><table cellspacing=\"0\" class=\"bwtablemarginb bwblockalignl\">\n<tr>\n<td class=\"bwvertalignt bwpadl0\" colspan=\"1\" rowspan=\"1\"><p class=\"bwcellpmargin\">\n(i)<\/p><\/td><td colspan=\"1\" rowspan=\"1\"\/>\n<td class=\"bwvertalignt bwpadl0\" colspan=\"1\" rowspan=\"1\"><p class=\"bwcellpmargin\">\nthe replacement of the fixed concession fee with a variable concession fee,<\/p><\/td><\/tr>\n<tr>\n<td class=\"bwvertalignt bwpadl0\" colspan=\"1\" rowspan=\"1\"><p class=\"bwcellpmargin\">\n(ii)<\/p><\/td><td colspan=\"1\" rowspan=\"1\"\/>\n<td class=\"bwvertalignt bwpadl0\" colspan=\"1\" rowspan=\"1\"><p class=\"bwcellpmargin\">\nthe exit of Infraero from Inframerica\u2019s shareholding structure,<\/p><\/td><\/tr>\n<tr>\n<td class=\"bwvertalignt bwpadl0\" colspan=\"1\" rowspan=\"1\"><p class=\"bwcellpmargin\">\n(iii)<\/p><\/td><td colspan=\"1\" rowspan=\"1\"\/>\n<td class=\"bwvertalignt bwpadl0\" colspan=\"1\" rowspan=\"1\"><p class=\"bwcellpmargin\">\nthe inclusion of 10 regional airports in the concession; and<\/p><\/td><\/tr>\n<tr>\n<td class=\"bwvertalignt bwpadl0\" colspan=\"1\" rowspan=\"1\"><p class=\"bwcellpmargin\">\n(iv)<\/p><\/td><td colspan=\"1\" rowspan=\"1\"\/>\n<td class=\"bwvertalignt bwpadl0\" colspan=\"1\" rowspan=\"1\"><p class=\"bwcellpmargin\">\nadditional investments at Bras\u00edlia Airport.<\/p><\/td><\/tr>\n<\/table><p>\nGiven the material changes to the economic equilibrium of the Bras\u00edlia Airport concession agreement, the Brazilian Federal Court required that a fast-track competitive public tender process shall be carried out in connection with 100% of the shares of Inframerica, which is expected to occur by December 2026. CAAP intends to participate in the tender process.
