One-fourth (1\/4<sup>th<\/sup>) of the RSUs will vest on each of the first four anniversaries of the Grant Date, subject to the recipient\u2019s continued service through each applicable vesting date. The PSUs will vest based upon achievement of the Company\u2019s performance metrics for 2026, as determined by the Talent and Compensation Committee of the Company\u2019s Board of Directors, up to a maximum of 200% of the target number of PSUs, subject to continued service through December 31, 2026.
